Terms of Service

These Terms of Service ("Terms") govern your use of Websprout (the "Service"), operated by Websprout ("we", "us"). By creating an account, building a site, or using any feature, you agree to these Terms. If you do not agree, do not use the Service.

1. What Websprout is

Websprout is an AI-powered website builder. You can describe a business and generate, preview, edit, and publish a website. Building and previewing are free. A paid (Pro) subscription unlocks removing the Websprout badge, connecting a custom domain, downloading your site's source code, and store features. Some capabilities — including live product management and payment checkout — are hosted online services that run on our servers, not files you download (see Sections 4, 5 and 6).

2. Accounts

You are responsible for all activity under your account and for keeping your sign-in access secure. You must provide accurate information and be old enough to form a binding contract where you live. You may not impersonate others or build sites you are not authorized to create.

3. Subscriptions and payment

Paid plans are billed in advance through Stripe at the price shown at checkout and renew automatically until cancelled. You can cancel anytime; cancellation stops future charges, and paid features remain available through the end of the current billing period. Fees are non-refundable except where required by law. We may change pricing with reasonable notice, applied to future billing periods.

4. Your content and ownership of downloaded code

You own the content you provide and the website source code you download while you have an active paid subscription. Downloaded code is the static files of your site (the HTML, CSS, JavaScript and layout we generated for you) and is yours to host and use for any lawful purpose, personal or commercial.

Downloaded code does not include Websprout's hosted services. In particular, the live product catalog, the payment checkout, lead-capture form processing, and similar server-side features are provided by us as an ongoing online service and are not part of the files you download.

5. Store, products and the checkout service

Store features let you list products and accept payments. Payment checkout is a hosted service: when a visitor clicks a buy button, a request is made to Websprout's servers, which create the payment session. This service is available only while you maintain an active, paid subscription. If your subscription lapses or is cancelled, the checkout service stops working — including on any self-hosted or downloaded copy of your site — and buy buttons will no longer process payments. A downloaded store page works as a product catalog; to take payments you must use the active hosted checkout.

You may not copy, reverse-engineer, reproduce, or build a substitute for the Websprout checkout or other hosted services in order to avoid subscription fees, applicable transaction fees, or these Terms. You are solely responsible for the products you sell, their descriptions and prices, fulfilment, refunds, taxes, and compliance with all laws that apply to your sales. Payments are processed by Stripe and are subject to Stripe's terms; we are not the seller of your goods and are not a party to transactions between you and your customers.

6. Fees on sales

Where we charge a per-sale or transaction fee for use of the checkout service, the applicable fee is disclosed to you before you enable payments and is deducted automatically. Payment-processor fees charged by Stripe are separate and set by Stripe.

7. Acceptable use

You may not use Websprout to create or distribute content that is illegal, infringes others' rights, promotes hate or violence, facilitates fraud, distributes malware, or violates any applicable law. We may suspend or remove sites, or terminate accounts, that violate these Terms.

8. Service availability and "as is"

The Service, including AI-generated output, is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, or uninterrupted availability. AI output may contain errors; you are responsible for reviewing your site before you publish or sell.

9. Limitation of liability

To the maximum extent permitted by law, Websprout will not be liable for any indirect, incidental, special, or consequential damages, or for lost profits, revenue, data, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the three months before the claim.

10. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate access for violations of these Terms or to comply with law. Provisions that by their nature should survive termination (including ownership, fees owed, disclaimers, indemnification, and limitation of liability) will survive.

11. Changes to these Terms

We may update these Terms from time to time. Material changes are reflected by updating the date above; continued use after changes take effect constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law rules, and you submit to the exclusive jurisdiction of the state and federal courts located in Georgia, except where mandatory consumer-protection law grants you rights where you live.

13. Copyright and takedown

We respect intellectual property rights and expect you to do the same. You must not use Websprout to build or publish content that infringes another person's copyright, trademark, or other rights.

If you believe content published through Websprout infringes a copyright you own or represent, send a notice to support@websprout.app that includes: (a) your contact information; (b) identification of the work you say is infringed; (c) the URL or location of the material you want removed; (d) a statement that you have a good-faith belief the use is not authorized by the rights holder, its agent, or the law; (e) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on their behalf; and (f) your physical or electronic signature.

We will review valid notices and may remove or disable access to the material. We may also remove sites and terminate the accounts of users who repeatedly infringe. If you believe your material was removed in error, you may send a counter-notice to the same address with your contact details and a statement, under penalty of perjury, that you have a good-faith belief the material was removed by mistake.

14. Indemnification

You agree to indemnify and hold harmless Websprout and the people who operate it from any claims, damages, losses, liabilities, and reasonable costs (including legal fees) arising from: (a) the content you create, publish, or sell through the Service; (b) your products, their fulfilment, and your transactions with your customers; (c) your use of the Service in violation of these Terms or any law; or (d) your infringement of another party's rights. We will notify you of any such claim and may take part in its defense; you may not settle a claim in a way that creates obligations for us without our consent.
